1. Introduction

Welcome to Najumi Tech Ltd.

These Terms of Service ("Terms") constitute a legally binding agreement between you and Najumi Tech Ltd ("Najumi Tech Ltd," "Company," "we," "our," or "us") governing your access to and use of the Najumi Ecosystem, including our websites, applications, cloud services, storage services, developer platforms, APIs, infrastructure services, software, identity systems, digital technologies, and any current or future products or services that reference or incorporate these Terms.

Najumi Tech Ltd is a technology company focused on building modern cloud infrastructure, scalable digital systems, intelligent platforms, developer technologies, storage solutions, deployment systems, and future-ready internet infrastructure designed to support individuals, startups, businesses, organizations, enterprises, developers, and global digital operations.

The Najumi Ecosystem is built around a unified identity framework known as Najumi Account. Through a single account, users may gain access to current and future Najumi services, creating a secure, consistent, and integrated experience across our ecosystem. This approach enables users to access multiple services through a centralized authentication and account management system while maintaining strong security, privacy, and operational controls.

These Terms apply to all visitors, users, customers, subscribers, organizations, developers, administrators, partners, contractors, and other persons who access, browse, register for, purchase, subscribe to, integrate with, or otherwise use any Najumi Tech Ltd service.

By accessing, browsing, registering for, purchasing, subscribing to, connecting with, integrating with, or otherwise using any Najumi Tech Ltd service, you acknowledge that you have read, understood, and agreed to be bound by these Terms and all related policies, guidelines, standards, notices, and legal documents that may be incorporated by reference.

These Terms apply to the entire Najumi Ecosystem, including Najumi Account, Najumi Storage, cloud services, developer platforms, APIs, infrastructure services, websites, support systems, communication services, and any future services, applications, products, technologies, or platforms introduced by Najumi Tech Ltd unless separate service-specific terms expressly apply.

Certain services may be subject to additional agreements, enterprise contracts, service-specific terms, subscription agreements, acceptable use requirements, technical policies, privacy notices, security standards, or other supplemental legal documents. Where additional terms apply, such terms shall be read together with these Terms and shall govern the relevant service to the extent necessary.

Najumi Tech Ltd reserves the right to improve, expand, modify, replace, suspend, discontinue, restrict, or otherwise change any aspect of its services, technologies, infrastructure, features, functionality, business operations, or platform capabilities at any time in accordance with applicable laws, contractual obligations, operational requirements, and legitimate business needs.

Users are responsible for ensuring that their use of Najumi Tech Ltd services complies with these Terms, applicable laws, regulations, contractual obligations, and generally accepted standards of responsible technology usage.

If you are accessing or using Najumi Tech Ltd services on behalf of an organization, company, government entity, educational institution, nonprofit organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms and that such entity accepts responsibility for all actions taken through accounts or services associated with it.

If you do not agree to these Terms, you must immediately discontinue access to and use of all Najumi Tech Ltd services, websites, applications, platforms, technologies, and related systems.

Najumi Tech Ltd is committed to providing secure, reliable, innovative, and scalable technologies that empower users to build, store, connect, deploy, manage, and grow within the modern digital economy. These Terms establish the legal framework that supports that mission while protecting users, maintaining platform integrity, and ensuring the responsible operation of the Najumi Ecosystem.

2. Acceptance of Terms

By accessing, browsing, registering for, subscribing to, purchasing, integrating with, or otherwise using any service provided by Najumi Tech Ltd, you acknowledge that you have read, understood, and agreed to be bound by these Terms of Service and all applicable policies, guidelines, notices, and legal documents incorporated by reference.

Your access to and use of the Najumi Ecosystem is conditioned upon your acceptance of these Terms. If you do not agree to these Terms, you must not access, use, register for, subscribe to, purchase, connect to, integrate with, or otherwise utilize any Najumi Tech Ltd service, platform, application, website, API, infrastructure service, storage service, developer tool, or related technology.

Acceptance of these Terms may occur through various actions, including creating a Najumi Account, accessing our websites, utilizing our services, purchasing subscriptions, uploading data, connecting applications, accessing APIs, interacting with support systems, or otherwise engaging with any component of the Najumi Ecosystem.

Where applicable, acceptance may also be indicated by selecting an option such as "Accept," "Agree," "Continue," "Register," "Create Account," or any similar action intended to signify agreement to these Terms.

If you access or use Najumi Tech Ltd services on behalf of a company, organization, government entity, educational institution, business, partnership, or other legal entity, you represent and warrant that you possess the legal authority to bind such entity to these Terms. In such cases, references to "you" and "your" shall include both the individual user and the applicable entity.

You further represent and warrant that you have the legal capacity, authority, and eligibility required under applicable laws to enter into this legally binding agreement with Najumi Tech Ltd.

If you do not meet the eligibility requirements necessary to enter into legally binding agreements under applicable law, you may not use Najumi Tech Ltd services except as expressly permitted by law and under the supervision of a parent, guardian, employer, institution, or other authorized representative where applicable.

Continued access to or use of any Najumi Tech Ltd service following the publication of updated Terms shall constitute acceptance of such revised Terms unless otherwise required by applicable law.

Najumi Tech Ltd reserves the right to request additional confirmation, verification, acknowledgements, electronic signatures, or other forms of consent where necessary for particular services, subscriptions, enterprise agreements, compliance requirements, or legal obligations.

Certain services may require acceptance of additional service- specific terms, subscription agreements, enterprise contracts, technical policies, security requirements, acceptable use policies, or other supplemental agreements. Such agreements shall be deemed incorporated into these Terms and shall govern the applicable services to the extent relevant.

No employee, contractor, reseller, partner, representative, or third party is authorized to modify these Terms on behalf of Najumi Tech except through an official written agreement executed by an authorized representative of Najumi Tech Ltd.

By continuing to use the Najumi Ecosystem, you acknowledge that these Terms form a legally enforceable agreement governing your relationship with Najumi Tech Ltd and your use of all applicable services, technologies, platforms, and digital infrastructure.

3. Eligibility and Account Registration

In order to access certain services within the Najumi Ecosystem, users may be required to create and maintain a valid Najumi Account. A Najumi Account serves as the primary identity and authentication mechanism for accessing current and future Najumi services, applications, platforms, APIs, storage systems, infrastructure services, developer tools, and related technologies.

By creating a Najumi Account, you represent and warrant that the information you provide is accurate, complete, current, and not misleading. Users are responsible for maintaining the accuracy of their account information and promptly updating any information that becomes outdated or inaccurate.

You must have the legal capacity required under applicable law to enter into a binding agreement with Najumi Tech Ltd. If applicable laws require parental consent, guardian authorization, employer approval, institutional authorization, or other forms of legal permission, such authorization must be obtained before using the services.

Najumi Tech Ltd reserves the right to establish minimum age requirements, eligibility requirements, verification procedures, identity confirmation processes, and account validation measures where necessary for security, compliance, operational, legal, or business purposes.

Users may be required to provide certain information during account registration, including but not limited to a name, email address, organization name, contact information, authentication credentials, recovery information, billing information, or other information reasonably necessary for account administration and service delivery.

You are solely responsible for maintaining the confidentiality and security of your account credentials, including usernames, passwords, authentication tokens, recovery codes, API credentials, and any other authentication mechanisms associated with your account.

You agree not to share account credentials with unauthorized individuals, permit unauthorized access to your account, or engage in activities that may compromise account security. Any activity occurring under your account may be attributed to you unless otherwise required by applicable law.

Najumi Tech Ltd strongly encourages users to utilize available security features, including multi-factor authentication, account recovery options, security notifications, device management tools, and other protective measures provided by the platform.

Users must not create accounts using false identities, misleading information, fraudulent credentials, impersonated identities, unauthorized third-party information, temporary identities intended to evade restrictions, or any other deceptive means.

Account ownership remains subject to verification by Najumi Tech Ltd. Where account ownership disputes arise, Najumi Tech Ltd may request reasonable evidence of ownership, identity verification, payment verification, organizational authorization, domain ownership, or other supporting documentation necessary to determine account control.

Najumi Tech Ltd reserves the right to reject registration requests, suspend registration processes, require additional verification, limit account functionality, or deny account creation where reasonably necessary to protect platform security, users, business operations, legal compliance, or the integrity of the Najumi Ecosystem.

Users are prohibited from creating multiple accounts for abusive, fraudulent, deceptive, unlawful, disruptive, manipulative, or unauthorized purposes. The creation of accounts intended to bypass platform restrictions, enforcement actions, subscription limits, billing requirements, security controls, or operational safeguards may result in suspension or termination.

If you become aware of unauthorized access, suspected compromise, credential theft, security vulnerabilities, or other account security concerns, you must promptly notify Najumi Tech Ltd through the appropriate support or security reporting channels.

Najumi Tech Ltd reserves the right to suspend, restrict, recover, reclaim, disable, or terminate accounts that violate these Terms, create security risks, threaten platform integrity, involve fraudulent activity, remain inactive for extended periods where permitted by law, or otherwise present legitimate operational, legal, compliance, or security concerns.

Successful registration of a Najumi Account does not guarantee continued access to all services. Access to specific products, subscription plans, enterprise features, APIs, infrastructure resources, storage systems, developer tools, or future services may be subject to additional eligibility requirements, subscription terms, verification processes, technical requirements, or separate agreements.

4. Najumi Account and Unified Identity System

Najumi Account serves as the central identity and authentication framework of the Najumi Ecosystem. It is designed to provide users with a unified, secure, and consistent method of accessing current and future services operated by Najumi Tech Ltd.

Through a single Najumi Account, users may access multiple services, platforms, applications, infrastructure resources, storage systems, developer tools, APIs, support systems, and other technologies that form part of the Najumi Ecosystem. This unified approach enables a streamlined user experience while supporting security, operational efficiency, and service integration.

Authentication performed through Najumi Account may be used to grant access to services including Najumi Storage, cloud infrastructure services, developer platforms, APIs, enterprise services, and future technologies introduced by Najumi Tech Ltd.

Users acknowledge that certain account information may be shared across Najumi services where reasonably necessary for authentication, authorization, account administration, subscription management, billing administration, customer support, security monitoring, fraud prevention, compliance activities, service integration, and operational continuity.

Najumi Account functions as a unified identity system and may enable single sign-on capabilities across multiple Najumi services. Authentication credentials associated with a Najumi Account may be utilized to access various services without requiring separate account registration for each service.

Users remain responsible for all activities conducted through their Najumi Account and any associated services, whether accessed directly or through integrated systems, authorized applications, linked services, delegated administration, or approved users acting on behalf of an organization.

Certain services may permit account linking, organizational account management, delegated administration, team collaboration features, user roles, permission controls, enterprise identity management, and other account-related functionality. Users are responsible for properly managing access permissions granted to third parties, employees, contractors, team members, or organizational users.

Najumi Tech Ltd reserves the right to implement security controls, verification requirements, authentication technologies, account recovery procedures, access restrictions, device verification, session management tools, identity confirmation measures, and other safeguards intended to protect users and maintain platform security.

Users may not attempt to circumvent authentication controls, impersonate another user, obtain unauthorized access to accounts, interfere with identity management systems, compromise account security mechanisms, or otherwise undermine the integrity of the Najumi Account infrastructure.

In circumstances involving account ownership disputes, organizational control disputes, fraud investigations, legal requests, compliance obligations, security incidents, or other legitimate concerns, Najumi Tech Ltd reserves the right to investigate, verify ownership, restrict access, suspend functionality, transfer administrative control where appropriate, or take other reasonable actions necessary to protect users, organizations, and the integrity of the platform.

Users acknowledge that the Najumi Ecosystem may continue to expand over time. Additional products, services, technologies, developer tools, APIs, cloud platforms, storage systems, enterprise solutions, and digital infrastructure offerings may be integrated into the Najumi Account framework in the future.

Access to certain services may require additional verification, separate subscriptions, enterprise agreements, service-specific terms, technical requirements, regulatory compliance measures, or other eligibility criteria beyond possession of a Najumi Account.

Najumi Tech Ltd reserves the right to modify, improve, expand, replace, or discontinue aspects of the Najumi Account system as necessary to support security, scalability, compliance, operational efficiency, user experience improvements, technological advancement, and future ecosystem development.

The Najumi Account system is a foundational component of the Najumi Ecosystem and is intended to provide a secure identity layer that supports reliable access to services while maintaining appropriate security, privacy, accountability, and operational safeguards.

5. Services Covered by These Terms

These Terms of Service apply to the entire Najumi Ecosystem and govern access to and use of all websites, applications, platforms, technologies, products, services, infrastructure resources, APIs, and digital systems operated, owned, managed, or provided by Najumi Tech Ltd unless separate service-specific terms expressly apply.

The services covered by these Terms include current services, future services, beta services, preview services, experimental services, enterprise offerings, developer tools, and any related technologies that reference, incorporate, or are otherwise made subject to these Terms.

Without limitation, these Terms apply to the official Najumi Tech Ltd website, Najumi Account, Najumi Storage, cloud infrastructure services, developer platforms, APIs, authentication systems, support systems, communication channels, billing systems, subscription services, management portals, administrative tools, and other technologies operated by Najumi Tech Ltd.

These Terms also apply to software, documentation, technical resources, SDKs, command-line tools, web interfaces, mobile applications, integrations, deployment systems, monitoring tools, storage technologies, networking services, security services, and related operational systems that form part of the Najumi Ecosystem.

Certain services may be offered under free plans, paid plans, subscription plans, enterprise agreements, promotional programs, beta programs, preview releases, invitation-only access programs, educational programs, nonprofit programs, or other service models. Unless expressly stated otherwise, such services remain subject to these Terms.

Najumi Tech Ltd may from time to time introduce new services, technologies, infrastructure offerings, cloud products, storage products, developer services, artificial intelligence features, automation tools, business solutions, collaboration platforms, enterprise technologies, and other digital products. Such services may automatically become subject to these Terms upon release, activation, access, registration, purchase, subscription, or use.

Certain services may be accompanied by additional service-specific agreements, technical requirements, subscription terms, enterprise contracts, acceptable use requirements, pricing terms, service level commitments, privacy notices, security requirements, or other supplemental legal documents. Where such supplemental terms apply, they shall be read together with these Terms and may govern specific aspects of the applicable service.

In the event of a conflict between these Terms and service-specific agreements expressly applicable to a particular service, the service-specific agreement shall govern solely with respect to the affected service and only to the extent of the conflict.

Third-party services, third-party websites, third-party integrations, external software, external infrastructure, payment providers, partner technologies, and other services not owned or controlled by Najumi Tech Ltd are generally not governed by these Terms unless expressly stated otherwise.

Users acknowledge that services may evolve over time and that features, functionality, availability, technical requirements, integrations, infrastructure architecture, service offerings, and operational capabilities may be modified, expanded, restricted, replaced, suspended, or discontinued in accordance with these Terms and applicable law.

Access to certain services may be subject to eligibility requirements, account verification procedures, subscription requirements, billing obligations, technical prerequisites, regulatory obligations, geographic restrictions, export control requirements, security requirements, or other lawful limitations established by Najumi Tech Ltd.

These Terms are intended to provide a unified legal framework governing the operation and use of the Najumi Ecosystem while supporting future innovation, service expansion, infrastructure development, and the continued growth of Najumi Tech Ltd services.

6. User Responsibilities

Users are responsible for ensuring that their access to and use of the Najumi Ecosystem is conducted in a lawful, responsible, secure, and respectful manner. Use of Najumi Tech Ltd services must comply with these Terms, applicable laws, regulations, contractual obligations, and any policies, guidelines, or requirements established by Najumi Tech Ltd from time to time.

Users are responsible for maintaining the security and confidentiality of their accounts, authentication credentials, passwords, recovery methods, access tokens, API credentials, and other security-related information associated with their use of Najumi Tech Ltd services.

Users must provide accurate, complete, and current information during registration, account administration, subscription management, billing activities, support requests, verification procedures, and other interactions with Najumi Tech Ltd.

Users are responsible for all activities performed through their accounts, whether conducted directly by the user, authorized personnel, employees, contractors, team members, administrators, or any person who has been granted access to the account.

Users must take reasonable measures to protect their devices, networks, systems, credentials, applications, and environments from unauthorized access, malware, credential theft, data breaches, account compromise, and other security risks.

Users are responsible for ensuring that content, files, data, software, applications, communications, and other materials stored, uploaded, transmitted, processed, shared, or made available through Najumi Tech Ltd services do not violate applicable laws, intellectual property rights, contractual obligations, privacy rights, security requirements, or the rights of third parties.

Users are responsible for maintaining appropriate backups of their information, content, configurations, databases, applications, source code, and other resources unless Najumi Tech Ltd expressly agrees in writing to provide backup services for a particular offering.

Users must promptly notify Najumi Tech Ltd if they become aware of unauthorized access, suspected account compromise, credential theft, security incidents, vulnerabilities, fraudulent activities, policy violations, or other events that may impact the security, integrity, or operation of the Najumi Ecosystem.

Users may not use Najumi Tech Ltd services in a manner that interferes with, disrupts, damages, overloads, degrades, impairs, or negatively affects the operation, security, availability, reliability, performance, or integrity of any service, system, infrastructure component, network, application, platform, or user.

Users are responsible for obtaining all permissions, licenses, authorizations, approvals, consents, and legal rights necessary to upload, process, store, transmit, distribute, publish, or otherwise use content and information through Najumi Tech Ltd services.

Organizations, businesses, educational institutions, government entities, and other legal entities using Najumi Tech Ltd services are responsible for ensuring that their employees, contractors, administrators, representatives, and authorized users comply with these Terms and all applicable policies.

Users acknowledge that Najumi Tech Ltd provides technology platforms, infrastructure services, storage services, developer tools, applications, and related technologies. Users remain solely responsible for how they use such services and for the consequences of their actions, decisions, content, configurations, deployments, and activities performed through the services.

Failure to comply with user responsibilities may result in account restrictions, suspension, service limitations, removal of content, termination of services, legal action, financial liability, or other remedies available to Najumi Tech Ltd under these Terms, applicable law, or other agreements.

Compliance with these responsibilities is essential to maintaining the security, reliability, integrity, availability, and continued operation of the Najumi Ecosystem for all users.

7. Acceptable Use Requirements

Users must use Najumi Tech Ltd services in a lawful, responsible, ethical, and secure manner. Access to and use of the Najumi Ecosystem is conditioned upon compliance with these Terms, all applicable laws, regulations, industry standards, and any policies established by Najumi Tech Ltd.

Users may not use Najumi Tech Ltd services to engage in activities that are unlawful, fraudulent, deceptive, harmful, abusive, disruptive, unauthorized, or otherwise inconsistent with the intended operation of the Najumi Ecosystem.

Without limitation, users must not use Najumi Tech Ltd services to create, distribute, host, transmit, store, facilitate, promote, or support malware, ransomware, spyware, trojans, malicious scripts, harmful code, botnets, credential theft systems, unauthorized surveillance tools, or other technologies designed to compromise systems, networks, devices, services, or individuals.

Users may not engage in phishing, impersonation, identity theft, social engineering, financial fraud, payment fraud, account fraud, deceptive practices, or any activity intended to mislead, exploit, manipulate, or harm others.

Users must not attempt to gain unauthorized access to systems, accounts, applications, networks, databases, APIs, infrastructure, credentials, or information belonging to Najumi Tech Ltd, other users, service providers, partners, or third parties.

Users may not interfere with, disrupt, overload, damage, degrade, impair, test, scan, probe, or attempt to bypass the security, integrity, availability, reliability, performance, or operation of any Najumi Tech Ltd service except where expressly authorized in writing by Najumi Tech Ltd.

Users may not use Najumi Tech Ltd services to conduct denial-of-service attacks, distributed denial-of-service attacks, resource exhaustion attacks, network disruption activities, traffic flooding, infrastructure abuse, or other activities intended to negatively impact the availability of systems or services.

Users may not distribute unsolicited communications, spam, unsolicited bulk messaging, unauthorized marketing campaigns, fraudulent advertisements, deceptive communications, or other forms of abusive messaging through Najumi Tech Ltd services.

Users may not upload, store, publish, distribute, transmit, or otherwise make available content that violates applicable laws, intellectual property rights, privacy rights, contractual rights, court orders, regulatory requirements, or the rights of others.

Users may not use Najumi Tech Ltd services to engage in activities involving unlawful exploitation, unlawful financial activities, unlawful gambling operations, unlawful distribution of regulated materials, unlawful trafficking activities, or other illegal commercial conduct.

Users may not circumvent subscription restrictions, service usage limits, rate limits, billing requirements, licensing restrictions, access controls, security measures, verification requirements, or enforcement actions implemented by Najumi Tech Ltd.

Users may not create accounts, organizations, projects, applications, integrations, or other resources for the purpose of evading enforcement actions, avoiding payment obligations, bypassing service limitations, concealing identity, or engaging in prohibited conduct.

Users must not misuse APIs, developer tools, infrastructure resources, storage services, authentication systems, networking services, or other technical resources in a manner that creates excessive operational burdens, security risks, service instability, or unreasonable consumption of resources.

Najumi Tech Ltd reserves the right to investigate suspected violations of these Acceptable Use Requirements and may take actions including content removal, access restrictions, service limitations, suspension, termination, legal action, reporting to authorities, preservation of evidence, or other measures deemed reasonably necessary to protect users, services, infrastructure, and business operations.

Compliance with these Acceptable Use Requirements is a fundamental condition of access to the Najumi Ecosystem. Violations may result in immediate enforcement action without prior notice where reasonably necessary to protect security, legal compliance, platform integrity, users, or operational continuity.

8. User Content and Customer Data

Users retain ownership of the content, data, files, documents, software, applications, databases, configurations, media, communications, and other materials that they upload, store, transmit, process, host, publish, create, or otherwise make available through Najumi Tech Ltd services ("User Content").

Except as expressly provided in these Terms, Najumi Tech Ltd does not claim ownership of User Content. All intellectual property rights, proprietary rights, copyrights, trademarks, trade secrets, and other legal rights associated with User Content remain with the applicable user or rights holder.

By using Najumi Tech Ltd services, users grant Najumi Tech Ltd a limited, non-exclusive, worldwide, royalty-free license to host, store, process, transmit, reproduce, cache, backup, display, distribute, and otherwise use User Content solely to the extent reasonably necessary to provide, operate, secure, maintain, improve, and support the applicable services requested by the user.

This limited license exists solely for service delivery purposes and does not transfer ownership of User Content to Najumi Tech Ltd. Users may revoke this license by removing their content, terminating use of the applicable service, or closing their account, subject to applicable retention requirements, backup systems, legal obligations, and operational necessities.

Users are solely responsible for all User Content and for ensuring that they possess all necessary rights, permissions, licenses, authorizations, and legal authority required to upload, store, process, share, transmit, publish, distribute, or otherwise use such content through Najumi Tech Ltd services.

Users represent and warrant that their User Content does not violate applicable laws, regulations, intellectual property rights, privacy rights, contractual obligations, court orders, regulatory requirements, or the rights of any third party.

Najumi Tech Ltd is not responsible for the accuracy, legality, reliability, integrity, quality, usefulness, or appropriateness of User Content and does not routinely review, monitor, verify, or endorse User Content except where reasonably necessary for service operation, security, compliance, support, legal obligations, or enforcement activities.

Users remain solely responsible for maintaining backups of User Content unless backup services are expressly included within a specific service offering or subscription plan provided by Najumi Tech.

Najumi Tech Ltd may process User Content through automated systems, infrastructure services, storage systems, networking systems, security systems, backup systems, disaster recovery systems, support tools, monitoring systems, and other operational technologies necessary for service functionality.

Najumi Tech Ltd does not use customer files, stored content, documents, databases, source code, uploaded materials, private communications, or other User Content for artificial intelligence model training purposes. If this practice ever changes in the future, Najumi Tech Ltd will provide appropriate notice and update its applicable policies before implementing such changes.

Najumi Tech Ltd reserves the right to remove, disable access to, restrict, quarantine, preserve, review, or take other actions regarding User Content where reasonably necessary to comply with legal obligations, enforce these Terms, protect users, maintain security, investigate abuse, respond to lawful requests, prevent harm, or support platform integrity.

Users acknowledge that content transmitted through the internet may be subject to technical limitations, interruptions, delays, corruption, unauthorized access attempts, transmission failures, or other risks inherent to digital communications and cloud-based services.

Upon deletion of User Content, residual copies may temporarily remain within backup systems, disaster recovery systems, archival storage, logging systems, security systems, or operational environments for limited periods consistent with the retention practices described in our Privacy Policy.

Nothing in these Terms shall obligate Najumi Tech Ltd to monitor, preserve, recover, restore, validate, or maintain User Content except as expressly required by applicable law, contractual obligations, or specific service commitments.

User Content remains the responsibility of the user, and users assume all risks associated with the creation, storage, transmission, publication, sharing, hosting, processing, and use of such content through the Najumi Ecosystem.

9. Intellectual Property Rights

The Najumi Ecosystem, including all associated services, technologies, software, applications, infrastructure platforms, APIs, developer tools, websites, documentation, interfaces, designs, content, branding elements, and related materials, is protected by intellectual property laws and other applicable legal protections.

Except for User Content and rights expressly granted under these Terms, all rights, title, and interests in and to the Najumi Ecosystem remain the exclusive property of Najumi Tech Ltd and its licensors. Nothing in these Terms transfers ownership of any intellectual property rights from Najumi Tech Ltd to any user.

The name "Najumi Tech Ltd," the Najumi logo, product names, service names, trademarks, service marks, trade dress, branding elements, slogans, visual identities, graphics, icons, and other brand assets are the property of Najumi Tech Ltd and may not be copied, reproduced, modified, distributed, displayed, or used without prior written authorization from Najumi Tech Ltd.

Users may not copy, reproduce, modify, distribute, publish, sell, sublicense, lease, reverse engineer, decompile, disassemble, extract source code from, create derivative works from, or otherwise exploit any part of the Najumi Ecosystem except as expressly permitted by applicable law or by written authorization from Najumi Tech Ltd.

All software, source code, object code, infrastructure architecture, technical frameworks, deployment systems, authentication systems, security systems, databases, APIs, algorithms, workflows, operational processes, and platform technologies developed or provided by Najumi Tech Ltd remain protected intellectual property.

Documentation, technical materials, developer resources, specifications, guides, tutorials, knowledge base articles, and other informational content provided by Najumi Tech Ltd are protected by copyright and other intellectual property laws. Users may not reproduce, distribute, republish, or commercially exploit such materials except as expressly permitted.

Subject to compliance with these Terms, Najumi Tech Ltd grants users a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the applicable services solely for their intended purposes and in accordance with these Terms.

Users may not remove, alter, conceal, or modify copyright notices, trademark notices, proprietary notices, attribution notices, or other legal notices appearing within Najumi Tech Ltd services, software, documentation, applications, websites, or related materials.

Any feedback, suggestions, recommendations, feature requests, enhancement proposals, ideas, comments, or other submissions voluntarily provided to Najumi Tech Ltd regarding its services may be used by Najumi Tech Ltd without restriction, compensation, attribution, confidentiality obligations, or other limitations unless otherwise required by applicable law.

Users remain responsible for ensuring that their use of Najumi Tech Ltd services does not infringe, violate, misappropriate, or otherwise interfere with the intellectual property rights of Najumi Tech Ltd or any third party.

Najumi Tech Ltd reserves the right to investigate allegations of intellectual property infringement and may remove content, suspend services, restrict access, disable resources, or take other actions reasonably necessary to comply with applicable laws, enforce intellectual property rights, or protect the interests of rights holders.

Unauthorized use of Najumi Tech Ltd intellectual property may result in account suspension, service termination, legal action, injunctive relief, financial liability, or other remedies available under applicable law.

Nothing in these Terms shall be interpreted as granting any ownership interest, implied license, trademark license, patent license, copyright license, or other intellectual property rights except those expressly granted by Najumi Tech Ltd in writing.

Users authorize Najumi Tech Ltd and its authorized payment providers to charge applicable fees using the payment method associated with their account. Payment methods may include bank transfers, debit cards, credit cards, PayPal, Payoneer, Flutterwave, Paystack, Google Pay, Alipay, digital wallet services, and other payment methods supported by Najumi Tech Ltd from time to time.

Subscription services may automatically renew at the end of the applicable billing period unless cancelled before renewal. By subscribing to automatically renewing services, users authorize recurring charges using their selected payment method until the subscription is cancelled or terminated in accordance with these Terms.

Users are responsible for maintaining accurate billing information, payment information, tax information, invoicing details, and other financial information necessary to process transactions and administer services.

Failure to successfully process payments may result in service limitations, restricted access, suspension of services, cancellation of subscriptions, deletion of resources, revocation of access rights, or termination of services, subject to applicable laws and contractual obligations.

Najumi Tech Ltd reserves the right to modify pricing, introduce new fees, adjust subscription plans, change billing structures, discontinue pricing programs, or revise commercial terms at any time. Where required by applicable law or contractual commitments, reasonable notice may be provided prior to such changes taking effect.

Unless otherwise expressly stated, all fees are non-refundable and non-creditable. Refund eligibility, cancellation rights, service credits, billing adjustments, and other financial matters may be governed by separate refund policies, subscription agreements, enterprise contracts, promotional terms, or applicable consumer protection laws.

Users are responsible for all applicable taxes, duties, levies, withholding obligations, governmental charges, regulatory fees, value-added taxes, sales taxes, goods and services taxes, or other similar charges arising from their use of Najumi Tech Ltd services, except for taxes imposed on Najumi Tech Ltd's income.

Najumi Tech Ltd may issue invoices, receipts, transaction records, account statements, billing summaries, usage reports, tax documentation, and other financial records electronically unless otherwise required by applicable law.

Users may not initiate fraudulent chargebacks, payment disputes, unauthorized payment reversals, false claims, or other actions intended to avoid legitimate payment obligations. Najumi Tech Ltd reserves the right to investigate such activities and take appropriate action, including account restrictions, suspension, termination, debt recovery efforts, or legal proceedings.

Promotional credits, free trials, service credits, discount programs, referral benefits, and other incentives may be subject to separate eligibility requirements, expiration periods, usage limitations, and program-specific conditions established by Najumi Tech Ltd.

Enterprise customers, organizations, educational institutions, government entities, and other business customers may be subject to separate billing arrangements, procurement processes, invoicing requirements, enterprise agreements, purchase orders, or custom contractual terms negotiated with Najumi Tech Ltd.

Najumi Tech Ltd reserves the right to suspend, restrict, downgrade, or terminate access to paid services where billing obligations remain unpaid, payment methods become invalid, fraud is suspected, payment disputes arise, legal requirements apply, or continued service would create financial, operational, compliance, or security risks.

All billing, subscription, and payment activities are subject to applicable laws, financial regulations, anti-fraud measures, sanctions requirements, compliance obligations, and the operational requirements necessary to maintain the integrity of the Najumi Ecosystem.

11. Service Availability and Modifications

Najumi Tech Ltd continuously develops, operates, maintains, improves, and expands the Najumi Ecosystem. As part of these activities, services, features, functionality, infrastructure, APIs, applications, platforms, technologies, and operational processes may evolve over time.

While Najumi Tech Ltd strives to provide reliable and uninterrupted services, we do not guarantee that any service will be available at all times, without interruption, without delay, or free from errors, defects, vulnerabilities, outages, or performance limitations.

Users acknowledge that service interruptions, maintenance events, infrastructure upgrades, software deployments, security updates, network failures, hardware failures, capacity constraints, third- party service disruptions, force majeure events, and other circumstances may affect the availability or performance of services.

Najumi Tech Ltd reserves the right to perform scheduled maintenance, emergency maintenance, infrastructure upgrades, migrations, security updates, feature deployments, system improvements, and other operational activities that may temporarily affect service availability.

Where reasonably practicable, Najumi Tech Ltd may provide advance notice of planned maintenance, major service changes, or scheduled service interruptions. However, advance notice may not always be possible in situations involving security risks, emergencies, operational requirements, legal obligations, or other urgent circumstances.

Najumi Tech Ltd reserves the right to add, modify, replace, suspend, discontinue, restrict, remove, or otherwise change any aspect of a service, feature, product, technology, API, interface, infrastructure component, subscription plan, pricing structure, or operational capability at any time.

New services, beta services, preview features, experimental technologies, pilot programs, limited releases, and early-access offerings may be introduced from time to time. Continued use of Najumi Tech Ltd services following modifications, updates, enhancements, migrations, or operational changes constitutes acceptance of such changes to the extent permitted by applicable law.

The ability to modify and improve services is essential to the continued growth, innovation, security, scalability, and long-term sustainability of the Najumi Ecosystem.

12. Third-Party Services and Integrations

The Najumi Ecosystem may integrate with, rely upon, interact with, connect to, or otherwise utilize services, technologies, infrastructure, applications, platforms, APIs, payment providers, communication services, authentication providers, and other third-party systems in order to provide functionality, improve user experiences, support business operations, and facilitate service delivery.

Such third-party services may include payment processors, cloud infrastructure providers, content delivery networks, domain providers, authentication providers, analytics services, communication services, development platforms, hosting providers, software vendors, enterprise partners, and other external technologies that support the operation of Najumi Tech Ltd services.

Examples of third-party services may include payment providers such as PayPal, Payoneer, Flutterwave, Paystack, Google Pay, Alipay, banking institutions, card networks, digital wallet providers, identity providers, developer platforms, infrastructure providers, and similar services. The inclusion of such examples does not constitute an endorsement, guarantee, partnership representation, or limitation of future providers that may be utilized by Najumi Tech.

Users acknowledge that third-party services operate independently from Najumi Tech Ltd and may be governed by separate terms of service, privacy policies, acceptable use policies, billing policies, security requirements, licensing agreements, and other contractual terms established by the applicable third party.

When users access, authorize, connect, integrate with, purchase services through, or otherwise interact with third-party services, they may become subject to the terms, conditions, policies, and practices of the applicable third party. Users are responsible for reviewing and understanding such requirements before utilizing third-party services.

Najumi Tech Ltd does not own or control third-party services and does not assume responsibility for the availability, reliability, performance, security, legality, accuracy, functionality, compliance, support, content, practices, actions, omissions, or policies of third-party providers.

Service interruptions, security incidents, outages, billing issues, performance limitations, operational failures, legal disputes, compliance matters, or other issues arising from third-party services may affect the availability or functionality of Najumi Tech services. Najumi Tech Ltd shall not be liable for such third-party events except to the extent required by applicable law.

Users who choose to authorize integrations, connect external applications, enable third-party services, link accounts, utilize external APIs, or otherwise facilitate interactions with third parties do so at their own discretion and risk.

Certain Najumi Tech Ltd services may permit the exchange of information between Najumi services and authorized third-party systems in order to provide requested functionality, automation, account linking, identity verification, payment processing, workflow management, data synchronization, or other user-directed capabilities.

Najumi Tech Ltd reserves the right to add, modify, replace, suspend, discontinue, restrict, remove, or otherwise change third-party integrations and dependencies at any time where reasonably necessary for operational, security, legal, compliance, performance, commercial, or technical reasons.

Users remain responsible for ensuring that their use of third-party integrations complies with applicable laws, contractual obligations, security requirements, privacy requirements, intellectual property rights, and the policies governing the applicable third-party services.

Nothing in these Terms shall be interpreted as creating a joint venture, partnership, agency relationship, employment relationship, fiduciary relationship, or other legal relationship between Najumi Tech Ltd and any third-party provider unless expressly stated in a separate written agreement.

The use of third-party services and integrations is intended to enhance the functionality, interoperability, and capabilities of the Najumi Ecosystem while allowing users to connect with a broader range of technologies, platforms, and business solutions.

13. Privacy and Data Protection

Najumi Tech Ltd is committed to protecting personal information, maintaining user trust, and implementing responsible privacy and data protection practices throughout the Najumi Ecosystem. The collection, use, processing, storage, disclosure, protection, and management of information are governed by our Privacy Policy and applicable laws.

By accessing or using Najumi Tech Ltd services, users acknowledge that certain information may be collected, processed, stored, transferred, disclosed, and otherwise handled in accordance with the Najumi Tech Ltd Privacy Policy and the operational requirements of the services being used.

The Najumi Tech Ltd Privacy Policy is incorporated into these Terms by reference and forms an integral part of the contractual relationship between users and Najumi Tech Ltd. Users are encouraged to carefully review the Privacy Policy to understand how information is handled within the Najumi Ecosystem.

Najumi Tech Ltd may collect and process information necessary to provide services, maintain security, authenticate users, administer accounts, process transactions, comply with legal obligations, improve services, provide support, prevent fraud, and support other legitimate operational purposes described in the Privacy Policy.

Users remain responsible for ensuring that any information, personal data, content, files, databases, applications, communications, or other materials they upload, process, store, transmit, or otherwise make available through Najumi Tech Ltd services are handled in compliance with applicable laws, regulations, contractual obligations, and privacy requirements.

Where users process personal information belonging to employees, customers, clients, contractors, students, patients, partners, website visitors, or other individuals through Najumi Tech Ltd services, such users remain responsible for obtaining any required consents, notices, authorizations, permissions, or other lawful bases necessary for such processing activities.

Najumi Tech Ltd implements administrative, technical, organizational, and security measures designed to protect information from unauthorized access, disclosure, alteration, destruction, misuse, loss, theft, or other unauthorized processing activities. However, no security measure can guarantee absolute security, and users acknowledge the inherent risks associated with internet-based technologies and digital communications.

Najumi Tech Ltd does not sell personal information to third parties for monetary compensation or data brokerage purposes. Information may be shared only in accordance with the Privacy Policy, applicable laws, contractual obligations, user instructions, operational requirements, or other lawful circumstances.

Users acknowledge that certain information may be processed by trusted service providers, infrastructure providers, payment processors, contractors, business partners, and other authorized third parties where reasonably necessary to operate, maintain, secure, improve, and support Najumi Tech Ltd services.

Najumi Tech Ltd does not use customer files, stored documents, databases, source code, private content, communications, or other User Content for artificial intelligence model training purposes. Should this practice ever change in the future, appropriate notice will be provided and relevant policies will be updated before such activities are implemented.

Users who do not agree with the information handling practices described in the Privacy Policy should discontinue use of the applicable services and follow available account closure or data management procedures where applicable.

Protection of privacy and responsible data management are fundamental principles of the Najumi Ecosystem, and both Najumi Tech and its users share responsibilities in maintaining secure, lawful, transparent, and trustworthy information practices.

14. Suspension and Termination

Najumi Tech Ltd reserves the right to suspend, restrict, disable, terminate, or otherwise limit access to any account, service, platform, application, API, infrastructure resource, storage service, subscription, or other component of the Najumi Ecosystem where reasonably necessary to protect users, maintain security, enforce these Terms, comply with legal obligations, preserve platform integrity, or support legitimate business operations.

Suspension or termination may occur with or without prior notice where permitted by applicable law and where Najumi Tech Ltd reasonably determines that immediate action is necessary to address security risks, fraud, abuse, unlawful conduct, policy violations, operational threats, technical concerns, regulatory obligations, or other circumstances that may negatively impact users, services, infrastructure, or business operations.

Najumi Tech Ltd may suspend or terminate access where a user violates these Terms, the Privacy Policy, the Acceptable Use Policy, service-specific agreements, enterprise agreements, subscription terms, security requirements, or other applicable policies and contractual obligations.

Grounds for suspension or termination may include, without limitation, fraudulent activity, payment failures, account abuse, unauthorized access attempts, intellectual property violations, unlawful activities, distribution of malicious content, security incidents, misrepresentation, deceptive practices, or conduct that creates legal, operational, financial, reputational, or security risks for Najumi Tech Ltd or others.

Najumi Tech Ltd reserves the right to investigate suspected violations and may temporarily restrict access to services while conducting reviews, security assessments, compliance evaluations, fraud investigations, dispute resolution processes, or other legitimate enforcement activities.

Users may terminate their use of Najumi Tech Ltd services at any time by discontinuing use of the services, cancelling subscriptions, closing accounts through available account management tools, or contacting Najumi Tech Ltd through appropriate support channels where necessary.

Termination of an account does not automatically relieve users of obligations incurred before termination, including payment obligations, contractual commitments, indemnification obligations, intellectual property obligations, dispute resolution provisions, confidentiality obligations, or other provisions that by their nature should survive termination.

Upon suspension or termination, users may lose access to services, applications, APIs, infrastructure resources, stored content, subscription benefits, configurations, administrative controls, integrations, and other service functionality associated with the affected account.

Najumi Tech Ltd may preserve, retain, archive, remove, disable, quarantine, or delete information, content, account records, configurations, subscriptions, resources, or other materials in accordance with applicable laws, operational requirements, data retention practices, legal obligations, contractual commitments, and the Privacy Policy.

Certain information may remain within backup systems, disaster recovery systems, logging systems, audit records, security systems, compliance archives, or other operational environments for limited periods following suspension or termination where reasonably necessary for operational, legal, regulatory, security, or compliance purposes.

Najumi Tech Ltd reserves the right to reclaim usernames, account identifiers, organizational names, project identifiers, service identifiers, inactive resources, abandoned resources, or other account-related assets where reasonably necessary to support operational requirements, resolve disputes, enforce policies, prevent abuse, or maintain platform integrity.

Users remain responsible for exporting, backing up, retrieving, and preserving their content, data, applications, configurations, and other materials before termination where such functionality is available. Najumi Tech Ltd shall not be responsible for losses arising from a user's failure to maintain appropriate backups.

Where reasonably practicable, Najumi Tech Ltd may provide notice prior to certain suspensions or terminations. However, advance notice may not be possible in situations involving security threats, fraud prevention, legal obligations, abuse prevention, regulatory requirements, emergency circumstances, or other urgent matters.

Suspension and termination rights are essential mechanisms that enable Najumi Tech Ltd to protect users, maintain service integrity, preserve platform security, comply with legal obligations, and ensure the responsible operation of the Najumi Ecosystem.

15. Disclaimers

The Najumi Ecosystem and all related services, platforms, applications, APIs, infrastructure resources, storage services, developer tools, websites, technologies, software, documentation, and other offerings are provided on an "AS IS," "AS AVAILABLE," and "WITH ALL FAULTS" basis except where otherwise expressly required by applicable law.

To the maximum extent permitted by applicable law, Najumi Tech Ltd disclaims all representations, warranties, guarantees, and conditions of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, title, availability, performance, reliability, accuracy, compatibility, security, or uninterrupted operation.

Najumi Tech Ltd does not guarantee that services will be available at all times, operate without interruption, remain error-free, be completely secure, achieve specific results, satisfy particular business objectives, or meet individual user expectations.

Users acknowledge that cloud services, internet technologies, distributed systems, software platforms, storage systems, APIs, communication networks, and digital infrastructure inherently involve risks, limitations, vulnerabilities, interruptions, delays, failures, and other technical uncertainties that cannot be completely eliminated.

Najumi Tech Ltd does not warrant that services will be free from bugs, defects, vulnerabilities, malware, interruptions, outages, configuration errors, compatibility issues, performance limitations, third-party failures, or other operational issues.

Any information, documentation, recommendations, technical guidance, support materials, tutorials, examples, educational content, or other resources provided by Najumi Tech Ltd are offered for informational purposes only and should not be interpreted as professional legal, financial, tax, accounting, cybersecurity, regulatory, investment, medical, or other professional advice.

Users remain solely responsible for evaluating the suitability of services for their intended purposes, implementing appropriate security measures, maintaining backups, conducting testing, verifying configurations, and managing operational risks associated with their use of the services.

Najumi Tech Ltd does not guarantee the accuracy, reliability, availability, legality, quality, completeness, usefulness, or suitability of third-party services, integrations, applications, infrastructure providers, payment providers, or external systems that may interact with the Najumi Ecosystem.

Najumi Tech Ltd does not guarantee that user content, stored files, databases, applications, configurations, communications, or other materials will never be lost, corrupted, deleted, delayed, compromised, or otherwise affected by technical failures, user actions, third-party events, force majeure events, security incidents, or other circumstances beyond reasonable control.

No oral statements, marketing materials, promotional content, demonstrations, support communications, business discussions, presentations, proposals, roadmaps, forecasts, or other information provided by Najumi Tech Ltd shall create any warranty, guarantee, commitment, or representation unless expressly stated in a written agreement signed by an authorized representative of Najumi Tech Ltd.

Users acknowledge that business outcomes, financial performance, operational success, technical performance, service adoption, productivity gains, revenue growth, cost savings, scalability improvements, or other results may vary significantly depending on individual circumstances and factors beyond the control of Najumi Tech.

16. Limitation of Liability

Najumi Tech Ltd shall not be responsible for damages resulting from user errors, configuration mistakes, security failures caused by users, credential compromise, unauthorized account access, third-party actions, internet failures, infrastructure failures, force majeure events, government actions, cyberattacks, malware, or circumstances beyond the reasonable control of Najumi Tech Ltd.

Users acknowledge that cloud infrastructure, storage services, APIs, software platforms, networking systems, authentication systems, and digital technologies involve inherent risks and that no technology service can guarantee complete prevention of all failures, interruptions, security incidents, or data-related events.

To the maximum extent permitted by applicable law, the aggregate liability of Najumi Tech Ltd arising from or related to the Najumi Ecosystem, these Terms, or any service provided by Najumi Tech Ltd shall not exceed the greater of (a) the total amount paid by the user to Najumi Tech Ltd during the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred United States Dollars (USD $100).

Where a user has not paid any fees to Najumi Tech Ltd, the maximum aggregate liability of Najumi Tech Ltd shall be limited to one hundred United States Dollars (USD $100) or the minimum amount permitted under applicable law, whichever is greater.

Multiple claims shall not enlarge or extend the liability limits established in these Terms. All claims arising from the same or substantially related events shall be treated as a single claim for purposes of calculating liability limitations.

Certain jurisdictions do not permit the exclusion or limitation of particular liabilities. In such jurisdictions, certain portions of this section shall apply only to the maximum extent permitted by applicable law.

Nothing in these Terms shall exclude or limit liability that cannot be excluded or limited under applicable law, including liability for fraud, willful misconduct, unlawful conduct, or other liabilities that applicable law expressly prohibits from being limited.

Users agree that the pricing, availability, and operation of the Najumi Ecosystem are based in part upon the allocation of risk reflected in these liability limitations and that such limitations constitute an essential element of the agreement between users and Najumi Tech Ltd.

The limitations contained in this section shall survive the suspension, expiration, termination, cancellation, or closure of accounts, subscriptions, services, and contractual relationships between users and Najumi Tech Ltd.

17. Indemnification

You agree to defend, indemnify, and hold harmless Najumi Tech Ltd, its affiliates, subsidiaries, officers, directors, employees, contractors, representatives, licensors, suppliers, partners, successors, and assigns from and against any and all claims, demands, actions, proceedings, investigations, liabilities, damages, judgments, settlements, penalties, fines, costs, and expenses, including reasonable attorneys' fees and legal expenses, arising out of or related to your use of the Najumi Ecosystem.

This indemnification obligation includes, without limitation, claims arising from your violation of these Terms, violation of applicable laws or regulations, infringement of intellectual property rights, misuse of services, unauthorized activities, fraudulent conduct, negligent acts, willful misconduct, or any activities conducted through your account.

You agree to indemnify and hold harmless Najumi Tech Ltd from any claims, disputes, investigations, enforcement actions, regulatory proceedings, governmental actions, or legal proceedings brought by third parties arising from content, files, applications, databases, software, communications, data, or other materials that you upload, store, process, transmit, distribute, host, publish, or otherwise make available through Najumi Tech Ltd services.

Users remain solely responsible for ensuring that their activities, content, applications, deployments, integrations, services, configurations, and use of the Najumi Ecosystem comply with applicable laws, regulations, contractual obligations, and the rights of third parties.

This indemnification obligation extends to claims involving alleged intellectual property infringement, copyright violations, trademark violations, privacy violations, data protection violations, defamation, unlawful content, fraudulent conduct, unauthorized access, security incidents, spam, malware distribution, phishing activities, or other prohibited conduct.

Najumi Tech Ltd reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you. In such circumstances, you agree to fully cooperate with Najumi Tech Ltd in the defense, investigation, settlement, negotiation, or resolution of the applicable matter.

You may not settle, compromise, admit liability, enter into agreements, or otherwise resolve any claim affecting Najumi Tech Ltd without the prior written consent of Najumi Tech Ltd.

Where multiple users, organizations, administrators, team members, contractors, employees, or authorized users are associated with an account, project, organization, subscription, or service, such parties may be held jointly and severally responsible for indemnification obligations arising from their activities to the extent permitted by applicable law.

The indemnification obligations described in this section shall survive suspension, expiration, termination, cancellation, account closure, service discontinuation, and the conclusion of any contractual relationship between you and Najumi Tech Ltd.

Nothing in this section limits any other legal remedies, contractual remedies, enforcement rights, recovery rights, or protections available to Najumi Tech Ltd under these Terms, applicable law, or any other agreement.

The indemnification obligations contained in this section are a fundamental condition of access to the Najumi Ecosystem and are intended to protect Najumi Tech Ltd from liabilities arising from user conduct, user content, unauthorized activities, legal violations, and other matters outside the reasonable control of Najumi Tech Ltd.

18. Governing Law

These Terms, the Najumi Ecosystem, and any disputes, claims, controversies, proceedings, or matters arising out of or relating to these Terms, the services provided by Najumi Tech Ltd, or the relationship between users and Najumi Tech Ltd shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to any conflict of law principles that might otherwise result in the application of the laws of another jurisdiction.

Users agree that the laws of the Federal Republic of Nigeria shall apply to the interpretation, validity, enforceability, performance, administration, and operation of these Terms and all related legal matters except where applicable law expressly requires otherwise.

Any legal action, claim, dispute, proceeding, litigation, enforcement action, regulatory matter, or controversy arising out of or relating to these Terms, the Najumi Ecosystem, or the use of Najumi Tech Ltd services shall be subject to the exclusive jurisdiction of the competent courts of the Federal Republic of Nigeria.

Users irrevocably consent to the jurisdiction of such courts and waive any objection based upon venue, forum non conveniens, inconvenience, or similar legal doctrines to the extent permitted by applicable law.

Nothing in these Terms shall prevent Najumi Tech Ltd from seeking injunctive relief, equitable remedies, protective orders, intellectual property enforcement measures, debt recovery actions, emergency legal remedies, or other appropriate relief in any jurisdiction where such action may be reasonably necessary to protect its rights, users, services, infrastructure, intellectual property, business interests, or legal obligations.

Where applicable law requires disputes to be brought before a particular court, regulatory authority, governmental body, or dispute resolution forum, such requirements shall apply only to the extent mandated by law.

If any provision of this Governing Law section is found to be invalid, unenforceable, or inconsistent with applicable law, the remaining provisions of these Terms shall remain in full force and effect to the maximum extent permitted by law.

The designation of the Federal Republic of Nigeria as the governing law and jurisdiction reflects the location of Najumi Tech's legal operations and provides a consistent legal framework for the administration and enforcement of these Terms.

19. Dispute Resolution

Najumi Tech Ltd encourages the prompt and informal resolution of disputes whenever reasonably possible. Before initiating formal legal proceedings, users agree to make reasonable efforts to contact Najumi Tech Ltd and attempt to resolve the matter through good faith discussions.

Any dispute, claim, controversy, complaint, or disagreement arising out of or relating to these Terms, the Najumi Ecosystem, or the use of Najumi Tech Ltd services should first be submitted to Najumi Tech Ltd through the appropriate support, legal, or dispute resolution channels.

Upon receiving notice of a dispute, Najumi Tech Ltd and the affected user shall attempt in good faith to resolve the matter through informal negotiations, discussions, exchanges of information, or other mutually acceptable means before pursuing formal legal remedies.

If a dispute cannot be resolved through informal negotiations within a reasonable period of time, either party may pursue any remedies available under applicable law and these Terms.

Nothing in this section shall prevent either party from seeking emergency relief, injunctive relief, protective orders, intellectual property enforcement measures, debt recovery actions, or other urgent legal remedies where delay could result in irreparable harm or significant legal prejudice.

To the maximum extent permitted by applicable law, users agree that any claim arising from or relating to the Najumi Ecosystem must be brought within one (1) year after the event giving rise to the claim occurred or was reasonably discoverable. Claims not brought within this period may be permanently barred.

Users agree that disputes shall be resolved on an individual basis and not as part of any class action, representative action, collective proceeding, consolidated proceeding, or similar multi-party action except where such restrictions are prohibited by applicable law.

Najumi Tech Ltd reserves the right to establish additional dispute resolution procedures, complaint handling processes, escalation channels, mediation procedures, enterprise dispute processes, or other mechanisms intended to facilitate efficient and fair dispute resolution.
